1. The Parties

Service Provider: Karmaniket (Vishwakarma Aniket), operating independently under the brand Karmaniket / AV Mades, based in Mumbai, Maharashtra, India.
Client / User: Any individual, company, or organisation that accesses the Site or engages the Service Provider for any service.

2. Scope of Services

Karmaniket offers professional services including but not limited to:

• Data Analytics, Data Engineering, and Business Intelligence solutions
• AI, Machine Learning, and Computer Vision development
• SaaS product design and development
• Software development (full-stack, embedded systems, automation)
• Freelance project execution and technical consulting
• Creative production: VFX, cinematography, 3D design
• Content creation and educational media (YouTube / AV Mades)
• Partnership facilitation and investor engagement

The exact scope, deliverables, timelines, and pricing for any specific engagement are defined in a separate written agreement, proposal, or Statement of Work ("SOW") agreed between the parties prior to commencement of work.

3. Enquiries and the Contact Form

Submitting the contact form on this Site does not constitute a binding contract or guarantee of service. It is an expression of interest that will be reviewed and responded to within a reasonable timeframe (typically 48 hours on business days). Karmaniket reserves the right to decline any enquiry without obligation.

4. Payments and Fees

• All fees are agreed in writing before any work begins. No work commences without a confirmed agreement.
• Unless otherwise agreed, a deposit (typically 30–50% of project value) is required before project initiation.
• Invoices are payable within 14 days of issue unless specified otherwise in the SOW.
• Late payments may incur interest at 1.5% per month or the maximum rate permitted by applicable law.
• All prices are exclusive of taxes, duties, or levies unless explicitly stated.
• Payments made are non-refundable for work already completed unless a specific refund clause is included in the written agreement.

5. Intellectual Property

• Client deliverables: Upon full payment, intellectual property rights in custom deliverables created specifically for the Client transfer to the Client, unless otherwise specified in the agreement.
• Pre-existing IP: Any tools, frameworks, libraries, methodologies, or code developed prior to or independent of the engagement remain the exclusive property of Karmaniket.
• Portfolio right: Karmaniket retains the right to reference completed work (in general terms) in portfolios, case studies, and public profiles, unless the Client requests confidentiality in writing.
• Content (YouTube / AV Mades): All content published on AV Mades channels, including videos, scripts, thumbnails, and associated materials, is the sole intellectual property of Karmaniket. Reproduction, redistribution, or derivative use without written permission is prohibited.
• Blueprints / Patreon: Files distributed via Patreon are licensed for personal, non-commercial use only. Commercial use requires a separate written licence.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. This obligation survives termination of the engagement for a period of 3 years. This clause does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

7. Client Responsibilities

• Provide accurate, complete, and timely information necessary for the performance of services.
• Review and approve deliverables within the timeframes specified in the SOW. Delayed approvals may extend timelines accordingly.
• Ensure that any materials, data, or assets provided to Karmaniket do not infringe the intellectual property or other rights of any third party.

8. Revisions and Change Requests

The number of revision rounds included is specified in each project agreement. Changes that materially alter the agreed scope ("scope creep") will be scoped, priced, and agreed separately before implementation.

9. Termination

• Either party may terminate an engagement with 14 days' written notice.
• Upon termination, the Client is liable for fees corresponding to all work completed up to the termination date.
• Karmaniket may immediately terminate an engagement without notice if the Client engages in abusive behaviour, fails to pay overdue invoices after written notice, or requests work that violates applicable law or these Terms.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Karmaniket's total liability for any claim arising out of or related to services provided under these Terms shall not exceed the total fees paid by the Client for the specific project giving rise to the claim in the 3 months preceding the claim.

Karmaniket shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, even if advised of the possibility of such damages.

11. Warranties and Disclaimers

• Karmaniket warrants that services will be performed with reasonable skill and care consistent with industry standards.
• The Site and its content are provided "as is" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Results described in portfolio items or case studies reflect specific project contexts and are not guarantees of equivalent results for other clients.

12. Third-Party Links and Services

The Site may link to third-party platforms (YouTube, GitHub, LinkedIn, Patreon, etc.). Karmaniket is not responsible for the content, privacy practices, or availability of such platforms. Linking does not constitute endorsement.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996 (India), with the seat of arbitration in Mumbai, Maharashtra. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction.

14. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, acts of government, pandemics, or internet infrastructure failures. The affected party shall notify the other promptly and both parties shall make reasonable efforts to mitigate impact.

15. Amendments

Karmaniket reserves the right to update these Terms at any time. Changes take effect upon posting to this page with an updated "Last updated" date. Continued use of the Site or ongoing engagements after changes constitutes acceptance. For active project agreements, any changes to Terms that materially affect the engagement require written consent of both parties.

16. Entire Agreement

For any specific engagement, these Terms, together with the signed SOW or project agreement and any referenced Privacy Policy, constitute the entire agreement between the parties and supersede all prior communications, proposals, or representations, whether oral or written.
